1 Acceptance of Terms

By accessing, registering for, or using any of Zanika's services, platforms, or products (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Zanika ("Zanika", "we", "us", or "our").

If you are using our Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such case, "you" and "your" will refer to that entity.

If you do not agree to these Terms, you must immediately cease use of our Services and, if applicable, deactivate your account.

2 Changes to Terms

Zanika reserves the right to modify, update, or replace these Terms at any time at our sole discretion. We will notify users of any material changes by posting a notice on our platform, sending an email to registered users, or updating the "Last Updated" date at the top of this document.

Your continued use of our Services after any changes take effect constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically. If you do not agree with the updated Terms, you must stop using our Services.

3 Eligibility and Account Registration

3.1 Eligibility

To use our Services, you must:

• Be at least 16 years of age (or the minimum legal age in your jurisdiction, if higher)
• Have the legal capacity to enter into binding agreements
• Not be barred from receiving services under applicable laws

This license does not include the right to sublicense, resell, or commercially exploit our Services or their content.

4.2 Prohibited Conduct

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit any harmful, offensive, defamatory, fraudulent, or unlawful content
• Impersonate any person, business, or entity
• Attempt to gain unauthorized access to any part of our systems or networks
• Introduce viruses, malware, or any other malicious code
• Engage in data scraping, crawling, or automated data collection without our prior written consent
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services for any unsolicited commercial messaging or spam
• Circumvent, disable, or otherwise interfere with security-related features of the Services

4.3 Business Users

If you access our Services as a business user or on behalf of an organization, you additionally agree to ensure that all individuals accessing our Services through your account are aware of and comply with these Terms. You remain fully responsible for their actions and any breaches of these Terms by your authorized users.

5 Intellectual Property

5.1 Zanika's Intellectual Property

All content, features, and functionality available through our Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, and its underlying code (collectively, "Zanika Content"), are owned by or licensed to Zanika and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from any Zanika Content without our prior written permission.

5.2 User Content

You retain ownership of any content you submit, post, or otherwise make available through our Services ("User Content"). By submitting User Content, you grant Zanika a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such content solely for the purpose of operating and improving our Services.

You represent and warrant that you own or have the necessary rights to your User Content, and that it does not infringe any third-party intellectual property or other rights.

6 Payment Terms

6.1 Fees and Billing

Certain Services may be subject to fees. Where applicable, you agree to pay all fees in accordance with the pricing and billing terms presented at the time of purchase. All fees are stated in the applicable currency and are exclusive of taxes unless otherwise stated.

6.2 Taxes

You are responsible for paying all taxes, levies, or duties applicable to your use of our Services. Where Zanika is required to collect taxes, they will be added to the applicable fee.

6.3 Refunds

Unless otherwise stated or required by applicable law, all fees paid to Zanika are non-refundable. If you believe you have been charged in error, please contact us within 30 days of the charge at the contact details provided at the end of these Terms.

7 Suspension and Termination

Zanika reserves the right to suspend or terminate your access to the Services at any time and without notice if:

• You breach any provision of these Terms
• We are required to do so by law or regulation
• We determine, in our sole discretion, that your use of the Services poses a risk to other users, third parties, or Zanika
• You have not used your account for an extended period of inactivity

You may also terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.

8 Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Zanika disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Limitation of Liability

To the maximum extent permitted by applicable law, Zanika and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, arising out of or in connection with your use of or inability to use the Services.

In no event shall Zanika's total aggregate liability to you exceed the greater of (a) the amount you paid to Zanika in the twelve (12) months preceding the claim, or (b) one hundred dollars (USD $100).

9 Indemnification

You agree to indemnify, defend, and hold harmless Zanika and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Services
• Your User Content
• Your violation of any applicable law or the rights of any third party

10 Third-Party Links and Services

Our Services may contain links to or integrations with third-party websites, services, or applications. These are provided for your convenience only. Zanika does not endorse, control, or assume responsibility for any third-party services, their content, privacy practices, or terms.

11 Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

12 Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in the jurisdiction where Zanika is registered.

12.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue available legal remedies.

12.3 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as part of a class, consolidated, or representative action.

13 General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Zanika with respect to the Services.

13.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Force Majeure

Zanika shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, pandemics, network failures, or other events of force majeure.
